1. Introduction

Thank you for choosing SilverLink (“SilverLink”, “SilverLinks”, “we”, “us”, “our”). By signing up or otherwise using the SilverLink service, websites, electronic database, and software applications (together, the “SilverLink Service” or “Service”), or accessing any content or material that is made available by SilverLink through the Service (the “Content”) you are entering into a binding contract with SilverLinks, LLC and SilverLink, LLC.
Your agreement with us includes these Terms and Conditions of Use (“Terms”) and our Policy. (The Terms, Policy, and any additional terms that you agree to, as discussed in the Entire Agreement section, are referred to together as the “Agreements”.  You acknowledge that you have read and understood the Agreements, accept these Agreements, and agree to be bound by them. If you don’t agree with (or cannot comply with) the Agreements, then you may not use the SilverLink Service or consume any Content.
Please read the Agreements carefully. They cover important information about SilverLink Services provided to you and any charges, taxes, and fees we bill you. The Agreements include information about future changes to the Agreements, automatic renewals, limitations of liability, privacy information, a class action waiver, and resolution of disputes by arbitration instead of in court.
In order to use the SilverLink Service and access the Content, you need to (1) be 18 or older, (2) have the power to enter a binding contract with us and not be barred from doing so under any applicable laws, and (3) be resident in the United States. You also promise that any registration information that you submit to SilverLink is true, accurate, and complete, and you agree to keep it that way at all times.

2. Changes to the Agreements

Occasionally we may, in our discretion, make changes to the Agreements. When we make material changes to the Agreements, we’ll provide you with prominent notice as appropriate under the circumstances, e.g., by displaying a prominent notice within the Service or by sending you an email. In some cases, we will notify you in advance, and your continued use of the Service after the changes have been made will constitute your acceptance of the changes. Please therefore make sure you read any such notice carefully. If you do not wish to continue using the Service under the new version of the Agreements, you may terminate the Agreements by contacting us through the Customer Support Service contact form.

3. Intellectual Property Rights

Other than the content you own, SilverLinks, LLC and/or its licensors own all the intellectual property rights and materials contained in this Website/electronic directory. All SilverLink trademarks, service marks, trade names, logos, domain names, and any other features of the SilverLink brand (“SilverLink Brand Features”) are the sole property of SilverLink or its licensors. The Agreements do not grant you any rights to use any SilverLink features whether for commercial or non-commercial use.
We grant you a limited, non-exclusive, revocable license for purposes of viewing the material contained on SilverLink Website/electronic directory.

4. Service Fees And Billing Methods; Automatic Renewal

Membership Fee

SilverLinks, LLC will charge you a membership fee in order to provide the Service. Your membership fee is the amount you were charged for one term of your Subscription or Plan. You acknowledge that SilverLinks reserves the right, at any time, to modify its Membership Fees and billing methods.

Automatic Renewal

If you have a paid Pricing Plan, SilverLinks will automatically renew your plan according to the payment information on file with SilverLinks. Such renewal payment will take place on or about your renewal date. Your plan will continue, and your payment method will be charged the membership fee until you cancel the plan, which you may do at any time (see Cancellation and Refund Policy below).
If the payment processing for the renewal of your plan fails for any reason, we will attempt to process your renewal for a period up to one hundred eighty (180) days in accordance with our standard renewal practices then in effect (which may be modified from time to time by SilverLinks). Except as otherwise required by applicable law, you agree that SilverLinks, will not provide you with any notices prior to each annual renewal payment.

5. Cancellation And Refund Policy

You may cancel Your Plan with a thirty (30) day notice by contacting SilverLinks,LLC by filling out the form located here: Cancellation Form
If SilverLinks, LLC terminates your account for any reason and you are not in breach of SilverLinks Terms and Conditions, your membership fee will be refunded on a pro rata basis from the date of such termination to the end.
Members are not entitled to refunds of their Membership Fee under any other circumstances.

6. Restrictions

You are specifically restricted from all of the following:
• Publishing any website/electronic directory material in any other media.
• Selling, sublicensing and/or otherwise commercializing any Website/electronic directory material.
• Landing page advertising must be specific to the senior adult age population.
• Publicly performing and/or showing any website/electronic directory material.
• Using this website/electronic directory in any way that is or may be damaging to this website/electronic directory.
• Using this website/electronic directory in any way that impacts user access to this website/electronic directory.
• Using this website/electronic directory contrary to applicable laws and regulations, or in any way may cause harm to the website/electronic directory, or to any person or business entity.
• Engaging in any data mining, data harvesting, data extracting or any other similar activity in relation to this website/electronic directory.
• Using this website/electronic directory to engage in any advertising or marketing.
• Certain areas of this website are restricted from being accessed by you and SilverLinks, LLC may further restrict access by you to any areas of this website, at any time, in absolute discretion.
• Any user ID and password you may have for this website are confidential and you must maintain confidentiality as well.

7. SilverLinks, LLC Content

In these Website Standard Terms and Conditions, “SilverLinks, LLC Content” shall mean any audio, video text, images or other material you choose to display on this Website. By displaying SilverLinks, LLC Content, you grant SilverLinks, LLC a non-exclusive, worldwide irrevocable, sub licensable license to use, reproduce, adapt, publish, translate and distribute it in any and all media.

8. No Warranties

WE ENDEAVOUR TO PROVIDE THE BEST SERVICE WE CAN, BUT YOU UNDERSTAND AND AGREE THAT THE SILVERLINK SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT EXPRESS OR IMPLIED WARRANTY OR CONDITION OF ANY KIND. YOU USE THE SILVERLINK SERVICE AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SILVERLINK AND ALL OWNERS OF THE CONTENT MAKE NO REPRESENTATIONS AND DISCLAIM ANY WARRANTIES OR CONDITIONS OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. NOTHING CONTAINED ON THIS WEBSITE SHALL BE INTERPRETED AS ADVISING YOU. NEITHER SILVERLINK NOR ANY OWNER OF CONTENT WARRANTS THAT THE SILVERLINK SERVICE IS FREE OF MALWARE OR OTHER HARMFUL COMPONENTS. IN ADDITION, SILVERLINK MAKES NO REPRESENTATION NOR DOES IT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY THIRD PARTY APPLICATIONS (OR THE CONTENT THEREOF), USER CONTENT, OR ANY OTHER PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY ON OR THROUGH THE SILVERLINK SERVICE OR ANY HYPERLINKED WEBSITE, OR FEATURED IN ANY BANNER OR OTHER ADVERTISING. YOU UNDERSTAND AND AGREE THAT SILVERLINK IS NOT RESPONSIBLE OR LIABLE FOR ANY TRANSACTION BETWEEN YOU AND THIRD PARTY PROVIDERS OF THIRD PARTY APPLICATIONS OR PRODUCTS OR SERVICES ADVERTISED ON OR THROUGH THE SILVERLINK SERVICE. AS WITH ANY PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE. NO ADVICE OR INFORMATION WHETHER ORAL OR IN WRITING OBTAINED BY YOU FROM SILVERLINK SHALL CREATE ANY WARRANTY ON BEHALF OF SILVERLINK IN THIS REGARD. SOME ASPECTS OF THIS SECTION MAY NOT APPLY IN SOME JURISDICTIONS IF PROHIBITED BY APPLICABLE LAW.
THIS DOES NOT AFFECT YOUR STATUTORY RIGHTS AS A CONSUMER.

9. User-Generated Content

SilverLink users may post, upload, and/or contribute (“post”) content to the Service (which may include, for example, pictures, text, messages, information, and/or other types of content) (“User Content”). For the avoidance of doubt, “User Content” includes any such content posted to the SilverLink Directory, as well as, any other part of the SilverLink Service.
You promise that, with respect to any User Content you post on SilverLink, (1) you have the right to post such User Content, (2) such User Content, or its use by SilverLink as contemplated by the Agreements, does not violate the Agreements, applicable law, or the intellectual property, including without limitation, copyright, publicity, personality, or other rights of others or imply any affiliation with or endorsement of you or your User Content by SilverLink without express written consent from such individual or entity; and (3) such User Content will not be offensive, abusive, defamatory, pornographic, threatening, or obscene.
SilverLink may, but has no obligation to, monitor, review, or edit User Content. In all cases, SilverLink reserves the right to remove or disable access to any User Content for any or no reason, including but not limited to, User Content that, in SilverLink’s sole discretion, violates the Agreements. SilverLink may take these actions without prior notification to you or any third party. Removal or disabling of access to User Content shall be at our sole discretion, and we do not promise to remove or disable access to any specific User Content.
You are solely responsible for all User Content that you post. SilverLink is not responsible for User Content nor does it endorse any opinion contained in any User Content. YOU AGREE THAT IF ANYONE BRINGS A CLAIM AGAINST SILVERLINK RELATED TO USER CONTENT THAT YOU POST, THEN, TO THE EXTENT PERMISSIBLE UNDER LOCAL LAW, YOU WILL INDEMNIFY AND HOLD SILVERLINK HARMLESS FROM AND AGAINST ALL DAMAGES, LOSSES, AND EXPENSES OF ANY KIND (INCLUDING REASONABLE ATTORNEY FEES AND COSTS) ARISING OUT OF SUCH CLAIM.

10. Limitation of Liability

In no event shall SilverLinks, LLC, nor any of its officers, members, directors and employees, be held liable for anything arising out of or in any way connected with SilverLinks, LLC use of this Website whether such liability is under contract. SilverLinks, LLC, including its officers, members, directors and employees shall not be held liable for any indirect, consequential or special liability arising out of or in any way related to SilverLinks, LLC use of this Website.

11. Indemnification

You hereby indemnify to the fullest extent SilverLinks, LLC from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to SilverLinks, LLC breach of any of the provisions of these Terms.

12. Severability

If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

13. Variation of Terms

SilverLinks, LLC is permitted to revise these Terms at any time as it sees fit, and by using this Website you are expected to review these Terms on a regular basis.

14. Assignment

The SilverLinks, LLC is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of SilverLinks, LLC rights and/or obligations under these Terms.

15. Entire Agreement

The Agreements constitute the entire agreement between SilverLinks, LLC and you in relation to SilverLinks, LLC use of this Website, and supersede all prior agreements and understandings.
16. Governing Law & Jurisdiction
These Terms will be governed by and interpreted in accordance with the laws of the State of Tennessee, and you submit to the exclusive jurisdiction Sumner County, Tennessee.
